Updating our User Agreement 2026

These amendments come into effect on 1 September 2026 for new customers and on 1 October 2026 for existing customers.

Before we get into the detail: this update is bigger than a routine terms refresh. We've restructured the User Agreement to make it leaner, more logical and easier to read, and we've moved products-specific terms to separate documents. The definitions and article numbers below reflect that restructuring, so some things have moved even where nothing has substantively changed.

Below you can find a short summary of the key changes:

Definitions section

  • Definitions added for Affiliates, Applicable Laws, Merchant Liabilities, MMI, Net Settlement Amount, Product Specific Terms, Rate Limits, Refund Reserve, Rolling Reserve, SEPA;

  • Definitions amended for Websites (now Sales Channel(s)), Payment Services (now Services), POS (now IPP);  

Main terms

  • Article 1.2: Duration is now set out here, at the start of the Agreement, instead of being buried near the end.

  • Section 3 (Services provided by Mollie): Provisions on Mollie Connect and  POS (now IPP) are removed in full and moved to separate Product Specific Terms. The old "Reserve Balance" has been renamed to Refund Reserve and scoped specifically to funding Refunds.

  • Section 4 (Your Obligations and Restrictions): Compliance with Laws is now the first article in this section. The Complaints, Outages and Support article has moved here from the old Final Stipulations section.

  • Article 4.6 (new: Fair Use Policy): we've added an explicit article covering Rate Limits on Payment Module use, how you can request a temporary increase, and how we may act on misuse or fraud risk.

  • Article 5.1 (Safeguarding Funds (SMP)): We have included a description of mechanism for funds held or received in a currency other than EUR. Mollie translates these into EUR daily (using the ECB reference rate, or the most recent available rate if none is published for that date) specifically to calculate and reconcile the amount required to be safeguarded.

  • Article 5.3.1 (new): clarifies exactly when Fees become due and payable:  immediately on a per-Transaction basis, at the start or close of the billing period for subscription Fees, and per your invoicing cycle if you're on Gross Settlements.

  • Article 5.4.1 (new: Net Settlement Amount): introduces the Net Settlement Amount which is your entitlement from any Transaction, capped at gross proceeds minus Fees, Chargebacks, Fines and Reserves. This also adds new protective language clarifying how these deduction and set-off rights continue to apply even if insolvency proceedings are opened.

  • Article 5.5: Set-off is now its own standalone article, rather than sitting inside the Chargebacks article.

  • Article 5.6 (Reserves): the old Rolling Reserve and Retention of Funds provisions are merged into one Reserves article.

  • Article 5.7 (Chargebacks & Refunds): consolidated into four sub-articles: Chargeback Liability, Consequences of Chargebacks, Disputing a Chargeback, and (new) a dedicated Refunds article describing how Refunds are requested and funded.

  • Article 5.10 (new): gives Mollie an explicit basis for risk-based controls during a termination notice period.

  • Section 8 (Liability & Indemnification): the liability cap itself is unchanged, but we've added an explicit statement that neither Party limits its liability for intentional misconduct, death, fraud or personal injury.

  • Section 9 (Property Rights): unchanged in substance, but now in a standalone section.

  • Article 10.2 (new: Survival after Termination): replaces a single old sentence with a detailed article listing exactly which obligations and articles survive termination.

  • Article 11.9 (new: Entire Agreement): a standalone article that didn't exist as such before.

  • Old Section 9 (Partner Agreement): moved in full to a Product Specific Term. 

For UK-based Merchants specifically:

  • Article 5.1 (Safeguarding Funds (SMP)): We have clarified that Mollie doesn't pay interest on funds held by SMP. In deviation from the EU version, references to EUR are replaced with GBP, and the reference rate for translating non-GBP funds is the Bank of England's published rate rather than the ECB rate.

 

Can I opt out of the updated User Agreement?

We periodically update our User Agreement so that we can continue to provide the best possible service to our customers. By continuing to use our services after 1 October 2026, you will be bound to the updated User Agreement. If you do not wish to accept this amendment, you can choose to close your account.
