Updating our User Agreement

We wanted to let you know that we've amended our User Agreement. The amendments come into effect on 1 September 2024 for new customers and on 3 October 2024 for existing customers.

Definitions section

Main terms

  • Article 2.1: Clarifications included specifying that: (i) Mollie’s services are only available to legal persons and organisations acting in a business capacity; and (ii) during registration you are obligated to provide additional KYC information upon request from Mollie. 
  • Article 3.1: Included an obligation for Mollie to notify you in advance (to the extent reasonably possible) when switching off the Payment Module for maintenance purposes. 
  • Article 3.2 (new): Mollie may auto-enable or activate a Payment Method on your behalf subject to notifying you of the terms of the Payment Method. You may disable a Payment Method at your discretion (at any time) via your dashboard or Mollie’s support channels.
  • Article 3.5 (new): Mollie may provide you the ability to hold a refund reserve balance, which are funds held by Mollie on your behalf on a safeguarded account, that you can use to perform refunds. The balance amount will be determined by Mollie based on e.g. refund ratios and Transaction volume.
  • Article 3.6: Clarifications included on: (i) What comprises a compatible Device for POS; and (ii) your responsibility to ensure your compatible Device is using the latest version of the applicable Software. 
  • Article 4.2: You are required to ensure that you continue to maintain the necessary licences, certificates or other legal documents to operate your business in your relevant jurisdiction. Mollie’s acceptance of you as a customer does not constitute legal advice or opinion as to the legality of your business activity. 
  • Article 5.2: Clarification included on how the Fee in practice are charged. If you do not have sufficient Balance to pay your Fees, you are required to either (i) pay the outstanding Fees through an invoice issued by Mollie; or (ii) top-up your Balance via your Dashboard.
  • Article 5.7: Clarification included that a rolling reserve may be for a specified amount rather than a percentage of each Transaction. 
  • Article 5.10 (new): Mollie may impose additional Fees or apply a minimum monthly invoice amount for accounts classified with an ‘increased risk profile.’ New customers with this classification will be informed of this before account verification; and existing customers will be given a one month’s notice period. 
  • Article 8.2: Wording of the indemnity amended to specify that you will hold harmless Mollie and SMP against all third-party claims in connection with the categories set out in article 8.2.
  • Article 8.9: Clarification that Mollie’s services are not intended for personal or household purposes; and that consumer (protection) laws and regulations are excluded from the agreement. Certain articles (as specified in article 8.9) of the Dutch Civil Code have also been excluded from the agreement. 
  • Articles 8.9.3, 8.9.6 & 8.9.7 (new): The following new ‘boilerplate clauses’ have been included: (i) no waiver of rights; (ii) severability; and (iii) electronic acceptance of the User Agreement.

For UK-based Merchants specifically:

Article 8.8: Included a condition precedent that the Agreement will only enter into force once we process a Transaction on your behalf. If this has not been done within the first 12 months following your acceptance of the User Agreement, it will not enter into force. 

 

Can I opt out of the updated User Agreement?

We periodically update our User Agreement so that we can continue to provide the best possible service to our customers. By continuing to use our services after 1 October, 2024, you will be bound to the updated User Agreement. If you do not accept this amendment, you can choose to close your account.
