Why does Mollie need a shareholder register of my company?

Sometimes during registration, we will ask for a shareholder register depending on the legal form of your company. We ask for this information because we are legally obligated to verify the Ultimate Beneficial Owners (UBO) of your organisation.

A shareholder register lists the active owners of your organisation's shares. It should be updated on an ongoing basis and include the name, address and percentage of shares owned by each shareholder. If one or more of the shareholders in your organisation is a legal entity, we also ask you to upload the shareholder register of each legal entity in your company’s structure.

In general, we request a shareholder register if your organisation falls under one of the following legal entities in the UK:

  • Business Partnership
  • Charitable Company
  • Limited Liability Partnership (LLP)
  • Private Limited Company (Ltd.)
  • Public Limited Company (PLC)
  • Trust

However, this decision is up to our discretion and we may request a shareholder register even if your organisation is not one the listed legal entities above.
